Terms & Conditions
Effective Date: September 5, 2026
These Terms & Conditions ("Terms") govern your use of unmapped and unmapped for Business ("unmapped," "we," "us," or "our"), including our website, referral, matching, coordination, administrative, and payment services.
By using unmapped, submitting a project request, accepting a quote or Work Order, engaging a service provider through unmapped, or otherwise using our services, you agree to these Terms.
If you are using unmapped on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.
1. What unmapped Does
unmapped helps businesses connect with independent individuals and businesses that offer professional, creative, administrative, technical, event, marketing, and other project-based services ("Service Providers" or "Talent").
unmapped primarily provides referral, matching, coordination, administrative, and payment-related services.
Unless expressly stated otherwise in writing, unmapped does not itself perform the underlying services requested by the Client. The Service Provider performs those services directly for the Client.
For each accepted project, the Client and Service Provider may agree to a project description, quote, confirmation, statement of work, or Work Order describing the services, compensation, timing, deliverables, and other project-specific terms.
The applicable Work Order or project confirmation forms the agreement between the Client and Service Provider regarding performance of the underlying services.
unmapped may participate in the transaction as the referral, coordination, and payment administrator.
2. Service Providers
Service Providers decide whether to accept a particular project.
Unless applicable law requires otherwise, unmapped does not control the day-to-day manner or means by which a Service Provider performs accepted services.
Service Providers are responsible for their own acts, omissions, conduct, methods, representations, work product, qualifications, permits, licenses, taxes, business obligations, and compliance with laws applicable to their services.
Nothing in these Terms is intended to override any worker classification or employment status determined by applicable law.
Service Providers do not have authority to enter into agreements, make warranties, incur obligations, or make representations on behalf of unmapped unless expressly authorized by unmapped in writing.
3. Vetting and Screening
unmapped may review information provided by Service Providers and may conduct interviews, portfolio reviews, identity checks, reference checks, skill assessments, or other screening that unmapped considers appropriate.
Any reference to a Service Provider as "vetted," "screened," "verified," "qualified," or similar language means only that the individual has completed the screening process used by unmapped at that time.
Vetting is not a guarantee, certification, warranty, or endorsement of a Service Provider's future behavior, reliability, qualifications, safety, work quality, honesty, availability, or suitability for a particular project.
unmapped does not guarantee that information supplied by a Service Provider will remain accurate or complete after screening.
The Client remains responsible for determining whether a particular Service Provider is appropriate for the Client's project.
4. Client Responsibilities
The Client is responsible for clearly describing the requested work and providing accurate information regarding the project, location, schedule, deadlines, expectations, and relevant conditions.
The Client is also responsible for providing necessary access, approvals, permissions, Client-controlled materials, and a reasonably safe environment for any work performed at the Client's location.
The Client must not request unlawful services, instruct a Service Provider to violate applicable law, or materially change the agreed scope without the Service Provider's consent.
The Client is responsible for reviewing and approving deliverables before publishing, distributing, relying upon, implementing, or otherwise using them.
The Client is responsible for maintaining appropriate security over its passwords, accounts, systems, confidential information, equipment, inventory, money, property, and other assets.
5. Project Eligibility
unmapped may accept or reject any project in its discretion.
Projects must comply with applicable law and must be suitable for unmapped's referral and intermediary model.
unmapped may decline projects that involve regulated, hazardous, licensed, restricted, or otherwise inappropriate activities.
Where applicable to California's referral-agency framework, unmapped does not accept referrals falling within categories excluded by applicable law, including certain high-hazard, janitorial, delivery, courier, transportation, trucking, agricultural labor, retail, logging, in-home care, or construction services other than qualifying minor home repair.
unmapped may request additional information from a Client or Service Provider before accepting a project.
6. Rates, Fees and Payment
Project pricing will be communicated before a project is accepted.
Pricing may include Service Provider compensation, a separate unmapped service or referral fee, approved expenses, payment processing charges, taxes, or other amounts disclosed to the Client.
Where unmapped collects compensation owed to a Service Provider, unmapped may act as payment administrator and remit the applicable amount to the Service Provider.
unmapped's service or referral fee is compensation for unmapped's matching, referral, coordination, administrative, and related services.
Payment timing and any deposit requirements will be stated in the applicable quote, invoice, project confirmation, or Work Order.
The Client authorizes unmapped and its payment processors to charge the agreed payment method for authorized amounts relating to the project.
7. Changes, Cancellations and Refunds
Project-specific cancellation or rescheduling terms stated in a quote, confirmation, or Work Order control.
Changes to material project terms, including scope, deliverables, rate, schedule, location, or maximum hours, require agreement from the applicable parties.
If no specific cancellation policy is stated, a Client that cancels before work begins may receive a refund of amounts not already earned, committed, or paid for approved project expenses or nonrecoverable third-party costs.
Once work begins, amounts attributable to work already performed, time already committed where applicable, approved expenses, and services already provided are nonrefundable.
unmapped may issue refunds, credits, or adjustments in its discretion but is not obligated to resolve a dispute between a Client and Service Provider in either party's favor.
8. Disputes Between Clients and Service Providers
The Client and Service Provider are primarily responsible for resolving disagreements concerning the underlying services, including disputes regarding quality, completion, deliverables, scope, timing, property, conduct, or payment attributable to the underlying work.
unmapped may choose to assist with communication or facilitate a good-faith resolution.
unmapped is not required to investigate, adjudicate, mediate, or determine fault in disputes between Clients and Service Providers.
unmapped's decision to provide assistance does not make unmapped responsible for the underlying dispute.
9. No Guarantee of Results
unmapped does not guarantee the quality, accuracy, completeness, timeliness, safety, legality, suitability, profitability, or outcome of services performed by Service Providers.
unmapped does not guarantee that any Service Provider will complete a project, meet a particular deadline, produce a particular result, or remain available.
unmapped does not guarantee any increase in revenue, sales, customers, traffic, engagement, followers, leads, productivity, business performance, or other outcome.
All business decisions made using work produced through a unmapped project remain the Client's responsibility.
10. Assumption of Risk
The Client understands that engaging another person or business to perform services involves inherent and ordinary risks.
These may include mistakes, missed deadlines, unsatisfactory work, communication problems, property damage, lost property, unauthorized conduct, interpersonal disputes, business interruption, errors, omissions, or other unexpected events.
To the fullest extent permitted by law, the Client voluntarily accepts and assumes the risks associated with engaging Service Providers through unmapped.
11. Release of unmapped
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CLIENT RELEASES UNMAPPED AND ITS OWNER, AFFILIATES, REPRESENTATIVES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS FROM CLAIMS, LOSSES, DAMAGES, LIABILITIES, COSTS, OR EXPENSES ARISING FROM OR RELATING TO:
- the acts, omissions, negligence, misconduct, representations, or performance of a Service Provider;
- the quality, accuracy, timeliness, completeness, legality, safety, or outcome of services performed by a Service Provider;
- disputes or interactions between a Client and Service Provider;
- property that is lost, stolen, damaged, altered, or otherwise affected in connection with a project;
- actions performed based on the Client's instructions;
- the Client's use or implementation of any deliverable or work product;
- Client-provided premises, systems, accounts, equipment, products, materials, data, credentials, or information; or
- circumstances outside unmapped's reasonable control.
This release applies only to the maximum extent permitted by applicable law.
12. Limitation of unmapped's Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNMAPPED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO UNMAPPED, A PROJECT, A SERVICE PROVIDER, OR THESE TERMS.
This includes loss of profits, revenue, customers, opportunities, goodwill, data, property, business interruption, replacement-service costs, or similar losses, regardless of whether unmapped was advised that such damages were possible.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNMAPPED'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PROJECT WILL NOT EXCEED THE UNMAPPED SERVICE OR REFERRAL FEES ACTUALLY PAID TO UNMAPPED FOR THAT PROJECT, EXCLUDING AMOUNTS COLLECTED BY UNMAPPED ON BEHALF OF A SERVICE PROVIDER.
If no unmapped service or referral fee was paid for the project, unmapped's aggregate liability will not exceed $100.
These limitations apply regardless of the legal theory asserted, including contract, tort, negligence, strict liability, or otherwise, except where applicable law does not permit the particular liability to be excluded or limited.
13. Client Indemnification
To the fullest extent permitted by law, the Client agrees to defend, indemnify, and hold harmless unmapped and its owner, affiliates, representatives, agents, and service providers from third-party claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys' fees arising out of or relating to the Client's:
- instructions or project requirements;
- acts, omissions, negligence, or misconduct;
- business, operations, premises, products, services, equipment, or materials;
- violation of law;
- violation of another person's rights;
- content, trademarks, photographs, music, data, intellectual property, or other materials supplied for a project;
- use, modification, publication, distribution, or implementation of project deliverables; or
- breach of these Terms or an applicable Work Order.
This obligation does not apply to the extent prohibited by applicable law.
14. Intellectual Property
Unless the applicable Work Order or project agreement states otherwise, upon full payment, rights owned by the Service Provider in final deliverables created specifically for the Client's project will be transferred to the Client to the extent agreed between the Client and Service Provider.
Service Providers retain ownership of pre-existing materials, tools, templates, processes, methods, know-how, software, techniques, and other intellectual property that existed independently of the project.
Third-party materials remain subject to the applicable third-party licenses and restrictions.
unmapped does not guarantee that Client-provided or Service Provider-provided materials are free from third-party intellectual-property claims.
15. Confidentiality and Access
Clients and Service Providers are responsible for protecting confidential information received from one another and using it only as reasonably necessary for the project.
Clients should provide Service Providers only the information, credentials, permissions, and system access reasonably necessary to perform the requested work.
Clients remain responsible for establishing appropriate access controls, backups, cybersecurity measures, approval processes, and safeguards for their own systems and information.
16. Property and Expenses
Clients should not provide Service Providers with cash, valuable property, sensitive documents, payment cards, account credentials, or expensive equipment unless reasonably necessary for the project.
Any authorized purchases, reimbursements, travel expenses, materials, or other project expenses should be agreed upon before they are incurred.
Except to the extent required by applicable law, unmapped does not assume custody of or responsibility for property exchanged directly between a Client and Service Provider.
17. Insurance
Unless unmapped expressly states otherwise in writing for a particular project, the Client should not assume that unmapped or a Service Provider maintains insurance covering any particular activity, project, loss, accident, property, or claim.
Each party is responsible for maintaining insurance legally required or appropriate for its own activities.
Nothing in these Terms eliminates any insurance obligation imposed by applicable law.
18. No Employment, Partnership or Agency Created
Nothing in these Terms creates a partnership, joint venture, franchise, fiduciary relationship, or employment relationship between unmapped and a Client.
unmapped's referral relationship with a Service Provider does not by itself determine the Service Provider's legal worker classification.
Worker status is determined by applicable law and the actual circumstances of the relationship.
Nothing in these Terms is intended to override a classification required by law.
19. No Authority to Bind unmapped
No Client or Service Provider may enter into an agreement, incur an obligation, make a representation, provide a warranty, or otherwise act on behalf of unmapped without unmapped's express written authorization.
20. Website Use
You may use unmapped's website only for lawful purposes.
You may not interfere with the website, attempt unauthorized access, submit false or misleading information, misuse another person's information, introduce malicious code, scrape or copy the website in violation of applicable law, impersonate another person, or use unmapped to facilitate unlawful activity.
unmapped may restrict or terminate access to its services where unmapped reasonably believes misuse, fraud, safety concerns, unlawful activity, material misrepresentation, or violation of these Terms has occurred.
21. Third-Party Services
unmapped may use third-party services for payment processing, communications, scheduling, hosting, analytics, or other operational functions.
unmapped is not responsible for the independent acts, omissions, availability, policies, security, or performance of third-party services except to the extent applicable law requires otherwise.
Use of third-party services may also be governed by those providers' terms and privacy policies.
22. Privacy
Information collected through unmapped is handled in accordance with our Privacy Policy.
By using unmapped, you acknowledge that information reasonably necessary to coordinate a project may be shared between unmapped, the Client, the applicable Service Provider, payment processors, and operational service providers as described in our Privacy Policy.
23. Refusal or Termination of Service
unmapped may reject a request, cancel a proposed match, remove a Service Provider from the network, suspend access, or discontinue services where reasonably necessary for legal, safety, fraud-prevention, operational, reputational, or business reasons.
Termination does not eliminate obligations that arose from an already accepted project, including payment, confidentiality, intellectual-property, indemnification, and liability provisions that by their nature should survive.
24. Changes to These Terms
unmapped may update these Terms from time to time.
The updated Terms will be posted on our website with a revised effective date.
Changes will apply prospectively unless applicable law permits otherwise.
Continued use of unmapped after updated Terms become effective constitutes acceptance of those updated Terms.
25. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Subject to any mandatory law requiring otherwise, any legal proceeding involving unmapped will be brought exclusively in the applicable state or federal courts located in San Diego County, California, and the parties consent to jurisdiction and venue there.
26. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be modified or enforced to the maximum extent permitted by law.
The remaining provisions will continue in full force and effect.
27. Entire Agreement
These Terms, together with any applicable Work Order, project confirmation, Client Agreement, Privacy Policy, and other written terms expressly incorporated into a project, constitute the applicable agreement regarding use of unmapped.
If a project-specific Work Order expressly conflicts with these Terms, the project-specific Work Order controls for that project.
28. Non-Waivable Rights
Nothing in these Terms excludes, releases, waives, transfers, or limits any liability or legal obligation to the extent that applicable law does not permit that liability or obligation to be excluded, released, waived, transferred, or limited.
The failure of any limitation or waiver to apply to one particular claim does not invalidate the remaining protections contained in these Terms.
